IMPORTANT: READ CAREFULLY
This Terms of Use & Software License Agreement ("Agreement") is a legally binding contract between Afripals Networks ("Licensor") and the individual or entity purchasing, installing, or using the Kasuwa Classifieds software ("Licensee"). By downloading, installing, or using the software, you acknowledge that you have read, understood, and agree to be bound by these terms.
1. LICENSE GRANT
Subject to full payment of the applicable fees and compliance with this Agreement, Afripals Networks grants the Licensee a non-exclusive, non-transferable, and revocable limited license to:
- Installation: Install and use the Kasuwa Classifieds script on one (1) primary domain/website owned by the Licensee.
- Modification: Modify the source code solely for the purpose of personalizing or optimizing the software for the Licensee's internal business use.
2. RESTRICTIONS ON USE
The Licensee is strictly prohibited from:
- Redistribution: Selling, renting, leasing, sublicensing, or distributing the software, whether modified or original, to any third party.
- Multiplexing: Using a single license to power multiple websites or domains without purchasing additional licenses.
- Proprietary Notices: Removing or altering any copyright, trademark, or proprietary notices within the software code.
- Competitive Use: Using the software to develop a software-as-a-service (SaaS) or a direct competitor product aimed at reselling the core script functionality.
3. USER-GENERATED CONTENT (CLASSIFIEDS DISCLAIMER)
- Responsibility: The Licensee is solely responsible for the content posted on their platform.
- Monitoring: Afripals Networks has no obligation to monitor content on the Licensee's installation and shall not be held liable for any illegal, fraudulent, or defamatory content posted by the Licensee's end-users.
4. INTELLECTUAL PROPERTY
The software is licensed, not sold. Afripals Networks retains all rights, titles, and interests in the software, including all copyrights, patents, and intellectual property rights. This license does not grant the Licensee any rights to the "Kasuwa Classifieds" or "Afripals Networks" trademarks.
5. NO WARRANTY (AS-IS)
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE." AFRIPALS NETWORKS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT GUARANTEE THAT THE SOFTWARE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.
6. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AFRIPALS NETWORKS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF THE USE OR INABILITY TO USE THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL TOTAL LIABILITY EXCEED THE AMOUNT PAID BY THE LICENSEE FOR THE SOFTWARE.
7. INDEMNIFICATION
The Licensee agrees to defend, indemnify, and hold harmless Afripals Networks and its employees from any claims, damages, or legal fees resulting from the Licensee's use of the software, any breach of this Agreement, or any content posted on the Licensee's platform.
8. TERMINATION
This Agreement remains in effect until terminated.
- By Licensee: You may terminate by destroying all copies of the software.
- By Licensor: Afripals Networks may terminate this license immediately without notice if the Licensee breaches any material term of this Agreement. Upon termination, all use of the software must cease.
9. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws applicable to Afripals Networks in its principal operating jurisdiction, unless applicable law requires otherwise. Any legal actions arising from this Agreement shall be brought before the competent courts serving that jurisdiction.
BY PROCEEDING WITH THE INSTALLATION OR USE OF KASUWA CLASSIFIEDS, YOU ACKNOWLEDGE THAT YOU HAVE READ AND AGREE TO BE BOUND BY THESE TERMS.
